This Merchant Service Agreement ("Agreement") governs the relationship between PAYSEED ("PAYSEED", "we", or "us") and the merchant ("you" or "Merchant") who registers for and uses the PAYSEED payment platform. By creating an account or using any PAYSEED service, you accept the terms of this Agreement.
PAYSEED provides a payment orchestration platform that connects merchants to authorised upstream payment providers. The availability of specific payment methods depends on the configuration and contractual arrangements with those providers. PAYSEED does not directly hold customer funds or issue electronic money.
You must complete business verification before your account can be activated for Live Mode. PAYSEED reserves the right to request additional documentation, delay activation, or reject any application. Until approval, your account remains in Test Mode with simulated data.
PAYSEED does not permit fraudulent, deceptive, unlawful or unauthorised transactions. Accounts reasonably suspected of prohibited activity may be restricted or suspended while the matter is reviewed. Where required and technically possible, affected funds may be held, reversed, refunded to their original payment source or handled according to applicable law, payment-network rules and provider requirements. PAYSEED may request supporting information and cooperate with authorised institutions and regulators.
Refunds and reversals depend on the payment status, provider capabilities, contractual rules and applicable law. PAYSEED does not guarantee that every payment can immediately be returned. Refunds are processed through the connected upstream provider and may take time to complete.
Fees are determined by the pricing rules applicable to your account at the time each transaction is processed. You will be notified of any fee changes in advance. Every transaction stores the exact pricing rule used at the time it was processed.
You are responsible for keeping your API keys secure. Secret keys must only be used on your backend and must never be exposed in client-side code, browser storage, or public repositories. PAYSEED is not liable for losses resulting from compromised secret keys.
PAYSEED processes personal data in accordance with our Privacy Notice. We do not store raw card numbers, security codes, or sensitive authentication information. Card payments use the secure hosted fields, redirects, or tokenisation provided by the upstream provider.
PAYSEED provides its services on an "as is" basis. To the maximum extent permitted by law, PAYSEED shall not be liable for indirect, incidental, or consequential damages arising from the use of our services.
Either party may terminate this Agreement at any time. PAYSEED may suspend or terminate your account if you breach this Agreement or engage in prohibited activities.
This Agreement is governed by the laws of the Republic of Ghana. Any disputes shall be resolved in the courts of Ghana.
